Oryx Simulations Code of Conduct

Oryx Simulations expects its suppliers and subcontractors to conduct their business in compliance with the same legal, ethical, environmental, and employee-related principles that Oryx Simulations requires in its Code of Conduct. These principles are of the utmost importance when establishing and conducting business relationships. Oryx Simulations participates in the United Nations Global Compact strategic initiative for sustainable business practices and supports 10 universally accepted principles in the areas of human rights, labour, environment and anti-corruption. 

The goal of the Oryx Simulations Supplier Code of Conduct (“Code”) is to set the minimum standards of conduct according to which Oryx Simulations requires its suppliers and subcontractors, and their respective affiliates and sub-suppliers/subcontractors to follow. The Code applies to the conduct of all companies that have a direct contractual relationship with Oryx Simulations, as well as the sub-suppliers and subcontractors that perform services or provide products to such companies for the benefit of Oryx Simulations (collectively “Supplier”).

Compliance with Laws and Regulations 

The Supplier shall be committed to full compliance with applicable national and international laws. This includes, but is not limited to, laws and regulations pertaining to competition, export control, taxation, safety, prevention of bribery, illicit payments and corruption, employee rights, environmental protection, and recognition and protection of company assets, including but not limited to trade secrets, copyrights and other forms of intellectual property.

Intellectual Property Rights and Confidentiality 

The Supplier shall respect and protect Oryx Simulations’ and third parties’ intellectual property rights and trade secrets. Supplier shall protect the intellectual property rights and trade secrets of Oryx Simulations and customers which Supplier may have access to or otherwise become aware of in the course of its business relationship with Oryx Simulations. 

Additionally, the Supplier shall protect the confidential information of Oryx Simulations and its customers against unauthorized access and use and shall use such information solely in connection with Supplier’s work for Oryx Simulations.

Human Rights 

Oryx Simulations expects its Suppliers to treat their employees in a fair and equitable manner. All employees of the supplier must have employment agreements if it is required by the local law. The working hours shall comply with the local laws and collective agreements and working hours must be followed and documented. The compensation to be paid to supplier’s employees must comply with the applicable wage laws and collective agreements, including those relating to minimum wages, overtime hours and mandatory benefits. 

The Supplier must ensure that child or forced labour is never used. In accordance with the International Labour Organization Convention 138, Supplier shall not employ persons younger than age 15 (14 years of age in certain developing countries) or the minimum age according to local legislation, whichever is higher. Supplier shall ensure and control the age stated by its employees. No employee shall be required to give his/her identity papers or deposit money during the employment. 

The Supplier shall not tolerate discrimination in its operations against any employee on the basis of race, religion, colour, gender, age, marital status, national origin, sexual orientation, citizenship, disability (where the applicant or employee is qualified to perform the essential functions of the job with or without reasonable accommodation), or any other basis prohibited by law in recruiting, hiring, placement, promotion, or any other condition of employment. Supplier shall adopt and enforce policies which prohibit such discrimination. Supplier shall ensure its employees receive equal opportunity and equal treatment based on merit. 

Supplier shall recognize the freedom of association and right to collective bargaining.

Environment 

The Supplier shall develop and produce environmentally responsible solutions and services to prevent and reduce emissions and waste of all types in its business operations. Supplier shall monitor, control and minimize the environmental impact of its facilities and appropriately treat wastewater, emissions and solid waste generated from its business operations. Supplier shall ensure that written instructions covering all processes with potential environmental impacts, such as the storage and handling of hazardous materials, are available and followed. 

  • The Supplier shall comply with all applicable environmental requirements. Supplier shall obtain, maintain and comply with environmental permits, licenses and registrations. 

  • The Supplier shall follow the applicable chemical legislation. Supplier must comply with Oryx Simulations’ List of Restricted Substances.

Health and Safety 

The Supplier shall ensure that its employees have a safe working environment. Supplier shall, at minimum, document its compliance with the following principles:

  • Control of worker exposure to potential safety hazards through proper design, engineering, administrative controls, preventive maintenance and safe work procedures; 

  • Identification and assessment of emergency situations and events to minimize their impact by implementation of emergency plans and response procedures; and 

  • Identification, evaluation and control of worker exposure to toxic chemical, biological and physical agents.

Conflict of Interest 

The Supplier must avoid all actual or potential situations where any Oryx Simulations employee’s personal or financial interests may conflict with that employee’s obligation to act in the best interest of Oryx Simulations 

Supplier shall report to Oryx Simulations if any Oryx Simulations employee or a family member of an Oryx Simulations employee owns a direct or indirect financial interest in Supplier. Supplier shall inform Oryx Simulations if any Oryx Simulations employee or a family member of an Oryx Simulations employee has a managerial position at or works for Supplier.

Corruption 

The Supplier shall ensure its business is free from corruption in all forms, including extortion and bribery. 

Neither Supplier nor its subcontractors or suppliers shall give gifts or entertainment to public officials except where permitted by applicable law. 

Supplier shall not offer Oryx Simulations employees any gifts, hospitality or payment of expenses that exceed reasonable and customary standards of hospitality or for the purpose of influencing or appearing to influence a business decision. Oryx Simulations has set monetary limits for gifts and hospitality, which Oryx Simulations generally considers to be reasonable. Cash or equivalent such as gift card cannot be offered. Oryx Simulations’ employees and representatives shall always pay for their own traveling and accommodation expenses when visiting the Supplier, or Supplier’s events.

Enforcement and Auditing 

The Supplier shall continuously monitor and document its compliance with this Code and applicable laws and regulations. Oryx Simulations may give more specific instructions regarding compliance with this Code from time to time, which Supplier shall follow. 

If Supplier identifies any areas in its operations (including the operations of its affiliates and suppliers) that do not conform to this Code, Supplier shall report such non-compliance to Oryx Simulations and immediately implement necessary improvements to achieve compliance with this Code. 

At Oryx Simulations request, Supplier shall provide the information and documents which are necessary for Oryx Simulations to verify that Supplier is following this Code. Oryx Simulations shall have the right to audit Supplier’s compliance with this Code and applicable laws and regulations itself with or without a support of a third- party auditor. If the results of such audit show, or it becomes otherwise evident that Supplier is not in compliance with this Code, Supplier shall take necessary corrective action in a timely manner as directed by Oryx Simulations. If Supplier fails to comply with this Code, Oryx Simulations may take actions against Supplier, including but not limited to suspending orders or terminating any agreement with Supplier in case of material breach of the Code.
